Represent small to medium sized closely-held businesses by providing legal advice and assistance in connectionwith corporate and company formations and compliance with corporate formalities, stock  and asset sales, employment related agreements and issues, and the preparation of business plans including drafting, negotiating and preparing certificates, stockholder agreements, purchase agreements, merger agreements, option plans, and other documents pertaining to corporate and company governance.

Commercial Real Estate

Acquisitions, Sales, Condominium Conversion, Commercial Leasing, Closing Agent

Represent residential and commercial land developers as well as individual home and business owners before various municipal authorities (including planning boards, boards of appeals, selectmen, city councils, boards of health and conservation commisions) as well as state agencies (including the Department of Environmental Protection, the Division of Wildlife and Fisheries, and the Department of Public Safety). Services are provided throughout the North Shore of Massachusetts, concentrating in communities located within Essex and Middlesex Counties (north and south). Projects include large and small residential and industrial subdivisions and condominiums, retail and office complexes, recreational facilities as well as medical and dental offices.

Represent residential and commercial land owners by drafting, reviewing and negotiating purchase and sale agreements; oversee and faciliate financing arrangements on behalf of borrowers; coordinate pre-closing due diligence; review title abstracts, address title clouds and issue title insurance policies; prepare and research zoning issues and opinions; prepare, review and negotiate commercial and industrial leases for landlords and tenants; draft documentation necessary to for and govern residential and commercial condominiums and homeowners associations. Represent financial institutions by preparing loan and title documentation and protecting the interests of the lender by ensuring that its security interests are properly perfected and that the documentation is properly prepared and filed.
